Terms of Use — English controlling version
1. Agreement and scope
These Terms of Use are a binding agreement between Gracie Co., Ltd. (株式会社Gracie), operating Branvia from Japan, and every person or organization that accesses or uses Branvia. By creating an account, purchasing a plan, applying to or accepting a campaign, or otherwise using the service, you agree to these Terms. If you act for an organization, you confirm that you have authority to bind it.
These Terms apply together with the Privacy Policy, information displayed at checkout, and the campaign brief, proposal, and conditions accepted for a particular collaboration. Mandatory law prevails where it cannot be excluded.
2. Eligibility and accounts
You must be at least 18 years old, have legal capacity to enter into these Terms, and have any authority, registrations, permissions, and tax status required for your activities. You must provide accurate and current information, protect your credentials, and promptly report suspected unauthorized access.
You may connect only social accounts and business resources that you own or are authorized to manage. Organization account owners are responsible for access granted to their team members.
3. Plans, subscriptions, and billing
Some Brand features may require a paid membership. The price, currency, billing interval, included features, taxes, and renewal information shown before checkout form part of the purchase terms. Recurring subscriptions continue until cancelled through an available account or payment-provider process or by contacting Branvia support.
You authorize the applicable payment provider to collect disclosed charges. Cancellation does not cancel accepted campaigns or amounts already due. Refunds are provided only when stated at checkout, agreed by Branvia, or required by applicable law.
4. Campaigns, applications, and proposals
A campaign listing, invitation, or application does not guarantee selection or a collaboration. A proposal becomes an accepted collaboration only when the required parties accept it through Branvia and any displayed funding, verification, or approval condition is satisfied.
The accepted campaign record should identify the work, platforms, compensation, deadlines, and other material requirements. Material changes should be recorded and accepted by the affected participants through the Branvia workflow.
5. Brand and agency responsibilities
Brands and agencies must provide accurate, lawful, and sufficiently clear campaign requirements, compensation, deadlines, product information, disclosure instructions, and requested content rights. They must have authority to use supplied materials and make requested claims.
Brands must fund campaigns and review submissions in good faith. A compliant submission may not be rejected or left unpaid only because of a later change in personal preference. Agencies confirm that they are authorized to act for the identified client.
6. Creator responsibilities
Creators must keep profile, social-account, audience, availability, and performance information truthful and current. They should accept only work they can lawfully and professionally complete and must follow the accepted brief, deadlines, disclosure requirements, platform rules, and agreed content rights.
Creators must use original or properly licensed material, obtain necessary permissions, avoid false claims or manipulated metrics, submit required publication links and insights, and promptly communicate any issue that could affect delivery.
7. Deliverables, publications, and approval
Deliverables, publication evidence, optional revisions, posting requirements, and approval conditions are governed by the accepted campaign terms and the actual Branvia workflow. A participant requesting a material change to scope, timing, compensation, or usage rights must obtain the other affected participant's agreement.
Branvia does not treat work as automatically approved after a fixed period unless that rule is expressly displayed and accepted for the relevant campaign.
8. Payments and payouts
Brand campaign funding, subscription charges, Creator compensation, refunds, and payouts may be processed through Stripe or another supported provider. Provider onboarding, identity checks, supported countries, settlement timing, currency conversion, and separate provider terms apply.
Campaign funding held pending workflow conditions is not described as escrow, a bank deposit, or a guarantee that funds are legally segregated. Branvia may delay, reverse, offset, or recover a specific amount where reasonably required for fraud, duplicate payment, refund, chargeback, sanctions, legal compliance, material breach, or payment-provider requirements. Each User remains responsible for their own taxes and reporting unless applicable law requires otherwise.
9. Cancellations and disputes
Campaign cancellation, payment adjustment, re-performance, or refund depends on the accepted campaign conditions, work completed, notice given, opportunity to correct a material failure, and applicable law. Campaigns with activity may be archived or cancelled under the available workflow rather than deleted.
Users should first report campaign disputes through Branvia and preserve relevant messages, files, approvals, and payment records. Branvia may facilitate an operational resolution, but this does not prevent either party from exercising legal rights.
10. Content and intellectual property
Users retain ownership of original content they create, excluding Branvia technology, Brand materials, and third-party content. You grant Branvia a non-exclusive, worldwide, royalty-free license to host, format, translate, transmit, display, review, analyze, and retain content only as reasonably necessary to operate the service, administer collaborations, verify results, provide support, comply with law, and resolve disputes.
A Brand receives only the content usage rights recorded in the accepted campaign terms. Paid advertising, boosting, whitelisting, editing, derivative works, sublicensing, broadcast, packaging, global use, or extended use are not granted unless expressly agreed.
11. Confidentiality and privacy
Non-public campaigns, launches, pricing, products, credentials, business information, messages, drafts, analytics, and information reasonably understood as confidential must be protected and used only for the authorized collaboration.
Personal information is handled under the Branvia Privacy Policy. Information received through Branvia may not be scraped, sold, added to an external marketing list without a lawful basis, or used outside the relevant collaboration.
12. Acceptable use
You may not break applicable law; impersonate another person; submit false documents or metrics; scrape or resell profiles, contacts, campaigns, pricing, or analytics; bypass plans, access controls, security, or payment workflows; introduce malware; attempt unauthorized access; harass, discriminate, spam, or publish unlawful or infringing content; misuse private information; or help another person do any prohibited act.
13. Third-party services and AI translation
Branvia may connect with services such as Instagram, TikTok, Stripe, Supabase, email, storage, and AI translation providers. Your use of those services may also be subject to their terms and privacy notices. Availability can be affected by third-party changes or outages.
Chat translations are generated automatically using artificial intelligence. They may contain errors, omit nuance, or create differences in meaning or interpretation. The original message is the reference, and Users should confirm important campaign or payment terms directly with the other participant.
14. Suspension and termination
Branvia may warn a User, restrict features, remove unlawful content, pause a campaign or payment, suspend an account, or terminate access for material or repeated breach, fraud, fake metrics, abuse, non-payment, security risk, identity-verification failure, provider requirement, or unlawful conduct. Urgent protective action may be immediate.
A User may stop using Branvia or request deletion subject to active collaborations, team ownership, payments, disputes, security, accounting, and legal retention obligations. Termination does not erase obligations or earned amounts that already arose.
15. Service limitations
Branvia facilitates discovery, workflow, communication, and payments. We do not guarantee campaign availability, selection, income, Creator performance, Brand conduct, audience response, sales, results, third-party service availability, or uninterrupted and error-free operation. Profiles and social metrics may depend on Users and external APIs.
Branvia does not provide legal, tax, financial, medical, or advertising-regulatory advice. Users should obtain professional advice appropriate to their circumstances.
16. Liability
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited. To the maximum extent permitted by applicable law, Branvia is not responsible for indirect or consequential losses that were not reasonably foreseeable or for losses caused solely by another User or an independent third-party service.
Any assessment of liability remains subject to mandatory Japanese consumer, freelance, privacy, employment, payment, and other applicable protections.
17. Governing law and disputes
These Terms are governed by the laws of Japan, excluding conflict-of-laws rules. Users and Branvia should first attempt in good faith to resolve a dispute through support. The Tokyo District Court will be the agreed court of first instance except where mandatory law gives a User a non-waivable right to another law, forum, or procedure.
18. Changes and general terms
We may update these Terms for legal, security, operational, provider, or product reasons. Material changes apply prospectively and will be notified when appropriate. Accepted campaign conditions do not change without agreement unless required by law.
Electronic acceptance records, timestamps, messages, and campaign records may serve as electronic records to the extent permitted by law. If part of these Terms is unenforceable, the remainder continues. The English version controls; the Japanese version is provided for convenience, except where mandatory law requires otherwise.
